The rules governing biocartly accounts, storefronts, subscriptions, payments, content, and disputes.

1. Agreement and Eligibility

These Terms form a binding agreement when you access biocartly, create an account, start a trial, subscribe, or use a storefront. You must be at least 18, have legal capacity, and have authority to bind any business you represent. If you disagree, do not use the service.

2. Platform Role

biocartly supplies hosted commerce software. Unless we expressly say otherwise, we are not a marketplace, payment institution, bank, courier, insurer, escrow service, or the seller of record. Each seller independently markets and sells its products, contracts with its customers, sets its policies, and is responsible for fulfilment and after-sales service. We do not guarantee a seller, buyer, product, transaction, delivery, refund, or outcome.

3. Accounts and Security

  • Provide accurate, current business, contact, tax, product, pricing, stock, delivery, and policy information.
  • Protect credentials, API keys, devices, domains and staff access; account activity is treated as authorised until you notify us.
  • Give staff only necessary permissions and promptly remove access when roles change.
  • Notify support immediately of suspected compromise, fraud, unauthorised orderss or payment-key exposure.

4. Seller and Store Obligations

  • You are responsible for lawful advertising, pricing, stock, product safety, warnings, warranties, taxes, invoices, licences, age restrictions, delivery, cancellations, returns, refunds, recalls, and customer support.
  • You must publish the supplier disclosures and transaction terms required by the Electronic Communications and Transactions Act, Consumer Protection Act, and other applicable law.
  • You may not misrepresent identity, affiliation, availability, origin, condition, reviews, discounts, delivery times, or refund rights.
  • You must comply with our Community Standards and each connected provider's rules.

5. Payments, Refunds, and Chargebacks

Checkout and subscription payments are processed by third parties such as Yoco and PayFast under their own terms. We do not hold seller funds or card details. Providers may delay, decline, reverse, reserve, or investigate payments. Sellers remain responsible for reconciliation, refunds, chargebacks, disputes, fees, fraud screening, and evidence of fulfilment. A platform status or email is informational and does not replace the provider's final settlement record. We may correct an erroneous order status when reliable provider records require it.

6. Plans, Billing, and Cancellation

Plan prices, billing periods, features, limits, and applicable taxes are shown before purchase. Recurring plans renew until cancelled. Cancellation normally applies at the end of the paid billing period unless law requires otherwise; fees already earned are not refundable merely because you stop using the service. We may change future pricing or features on reasonable notice. Failed payment may cause downgrade, suspension, or loss of paid features. Nothing here limits a cancellation, cooling-off, refund, or other non-waivable right granted by law.

7. Content and Intellectual Property

You retain ownership of content you lawfully provide and grant us a worldwide, non-exclusive, royalty-free licence to host, copy, format, display, transmit, back up, and technically adapt it only as needed to operate, secure, promote, and improve the service. You warrant that you have all required rights and permissions. biocartly and its software, branding, interfaces, and documentation remain ours or our licensors'. We may remove allegedly infringing content and may share a valid complaint with the affected user.

8. Prohibited Use and Enforcement

You may not use the service for unlawful, fraudulent, deceptive, abusive, infringing, dangerous, sanctioned, or security-harming activity, or to bypass limits and controls. We may investigate, preserve evidence, request verification, remove content, withhold access, restrict transactions, suspend or terminate accounts, and cooperate with providers, rights holders, regulators, or law enforcement where reasonably necessary. Urgent action may occur without advance notice; where appropriate, you may contact legal@biocartly.com to request review.

9. Privacy and Customer Data

Our Privacy Policy explains our processing. Depending on the activity, a seller may be the responsible party for its customer data and biocartly its operator. Sellers must provide lawful notices, use data only for authorised purposes, honour data-subject rights, secure exports, and not send unlawful direct marketing. You instruct us to process seller-controlled customer data to provide the service.

10. Availability and Third Parties

The service is provided on an "as available" basis. Maintenance, internet failures, cyber incidents, provider outages, force majeure, legal orders, or changes to third-party integrations may interrupt or alter it. We do not warrant uninterrupted operation, error-free data, permanent retention, search ranking, sales, or compatibility with every device or provider. You should keep independent records needed for tax, accounting, fulfilment, and disputes.

11. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, biocartly is not liable for indirect, incidental, special, punitive, or consequential loss; lost profit, revenue, goodwill, opportunity, anticipated savings, or data; or loss arising from seller conduct, buyer conduct, goods, delivery, refunds, chargebacks, fraud, third-party services, unauthorised account access, or events outside our reasonable control. Our aggregate liability arising from the service is limited to the fees you paid us in the six months before the event giving rise to the claim. These exclusions do not apply to fraud, wilful misconduct, gross negligence where it cannot lawfully be excluded, death or personal injury caused by liability that cannot be excluded, or any other non-waivable rights under the Consumer Protection Act or other applicable law.

12. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold biocartly and its personnel harmless from third-party claims, losses, penalties, costs, and reasonable legal fees arising from your store, products, content, taxes, customer promises, data processing, breach of these Terms or law, infringement, fraud, chargebacks, refunds, delivery, or use of the service. This does not require you to indemnify us for our own unlawful conduct or liability that law does not allow us to exclude.

13. Suspension, Termination, and Data

You may stop using the service and cancel eligible subscriptions. We may suspend or terminate for breach, legal or security risk, non-payment, provider requirements, prolonged inactivity, or discontinuation of the service. Subject to law and operational limits, request an export before closure. We may retain records required for legal, tax, fraud, security, dispute, backup, or enforcement purposes. Terms that by nature should survive termination remain effective.

14. Complaints, Governing Law, and Disputes

Contact legal@biocartly.com first with the account or store, facts, dates, requested outcome, and supporting records. These Terms are governed by South African law. Courts with lawful jurisdiction in South Africa may hear disputes. Consumers retain every right to approach the National Consumer Commission, Information Regulator, an applicable ombud, tribunal, or court; nothing in these Terms prevents a remedy that cannot lawfully be restricted.

15. Changes and General Terms

We may update these Terms for legal, security, provider, or service changes and will post the effective date; material changes may receive additional notice. Continued use after the effective date constitutes acceptance where legally permitted. If a term is unenforceable it will be limited or severed without affecting the rest. No waiver is continuing. You may not transfer your account without consent; we may transfer this agreement as part of a restructuring or sale, subject to law. These Terms, the Privacy Policy, Community Standards, and displayed plan terms form the agreement.
